Task Responsibilities:

  • Minute-Taking & Meeting Support
    • Prepare agendas, attend Board and Committee meetings, and take accurate and comprehensive minutes.
    • Ensure timely distribution and archiving of minutes and meeting documentation.
    • Maintain a high level of confidentiality and discretion in handling sensitive corporate matters.
  • Corporate Governance
    • Support the Board of Directors and senior management in ensuring compliance with corporate governance standards and internal policies.
    • Monitor and advise on regulatory changes affecting the company’s governance framework.
  • Statutory Compliance
    • Maintain statutory registers and ensure timely filings with relevant authorities (e.g., RCS, CSSF, EASA).
    • Coordinate the preparation and submission of annual reports, shareholder resolutions, and other legal documents.
  • Administrative and Legal Support
    • Liaise with external legal advisors, notaries, and regulatory bodies.
    • Assist in drafting and reviewing corporate documents, including shareholder agreements, powers of attorney, and internal policies.
  • Record Management
    • Ensure proper documentation and archiving of corporate records in compliance with legal and internal requirements.

Essential Requirements For The Position:

  • Degree in Law or Business Administration
  • At least 5 years experience in a similar Company Secretary or Corporate Governance role, preferably in the aviation or transport sector.
  • Strong minute-taking skills with excellent written and verbal communication in English; fluency in French is an asset.
  • Solid understanding of Luxembourg corporate law and regulatory environment.
  • High attention to detail, organizational skills, and ability to manage multiple priorities.
  • Discretion, integrity, and professionalism in handling confidential information.
  • Proficiency in Microsoft Office Suite and document management systems.

Working Conditions:

  • A Certificate of good conduct (Casier judiciaire, Polizeiliches Führungszeugnis) will be required in case of positive selection
  • Permanent Contract, Full time
  • Location: HQ, Luxembourg (Sandweiler)
  • Travel required: Occasional travel
